1. Introduction

Welcome to Reellwe.com ("Platform," "we," "us," or "our"). Reellwe.com is a business social media platform and a subsidiary of Begize optiMAX. We provide businesses and professionals with tools to collaborate, cooperate, advertise, create content, and distribute that content to third-party social media platforms.

By accessing or using our Platform from within Ethiopia or elsewhere ("User," "you," or "your"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Platform.

2. Definitions

Term  Definition

Platform        Reellwe.com, including all features, tools, content creation functions, and distribution services.

Parent Company      Begize optiMAX, the parent company of Reellwe.com.

Content        Any text, images, videos, audio, graphics, or other materials created, uploaded, or distributed through the Platform.

Distribution   The act of dispatching Content from Reellwe.com to third-party social media platforms including but not limited to Facebook, Twitter (X), WhatsApp, and Telegram.

Business User          Any entity using the Platform for commercial or professional purposes.

Professional User     Any individual using the Platform in a professional capacity.

Worthwhile Interaction      Any engagement, collaboration, or transaction that delivers genuine value to Users, free from spam or irrelevant content.

3. Eligibility

By using Reellwe.com, you represent and warrant that:

You are at least 18 years of age (the age of majority under Ethiopian law);

You are a business entity duly registered under Ethiopian law (if applicable), a professional, or an individual acting in a professional capacity;

You have the authority to bind your business or organization to these Terms;

Your use of the Platform complies with all applicable Ethiopian laws and regulations, including the Commercial Code of Ethiopia and any sector-specific regulations.

4. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information;

Maintain the security of your login credentials;

Notify us immediately of any unauthorized use of your account;

Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Platform Features

Reellwe.com offers the following core features:

5.1 Business Social Media Platform

Users may create profiles, connect with other businesses and professionals, share Content, and engage in collaboration and cooperation.

5.2 Content Creation Tool

Users may create digital Content directly within the Platform using our proprietary tools.

5.3 Content Distribution

Users may dispatch Content created on Reellwe.com to third-party social media platforms, including but not limited to Facebook, Twitter (X), WhatsApp, and Telegram. You are solely responsible for complying with the terms of service of any third-party platform.

5.4 Collaboration & Cooperation

The Platform facilitates meaningful business partnerships, projects, and coordinated efforts among Users.

5.5 Advertising

Businesses and professionals may promote their products, services, or brands through the Platform’s digital media channels, in compliance with Ethiopian advertising standards and regulations.

6. User Conduct

You agree not to:

Post, create, or distribute spam, junk, or irrelevant Content;

Harass, abuse, or harm other Users;

Impersonate any person or entity;

Use the Platform for any illegal or unauthorized purpose, including any activity that violates Ethiopian law;

Interfere with or disrupt the Platform’s functionality;

Distribute Content that infringes on intellectual property rights;

Use automated bots or scripts to interact with the Platform;

Engage in any activity that constitutes a computer crime under Ethiopian Proclamation No. 1205/2020 (Computer Crime Proclamation).

Our Commitment to "Worthwhile Interactions": Reellwe.com is built on the principle of cutting through the junk. We actively monitor for spam, low-quality Content, and abusive behavior. We reserve the right to remove any Content or suspend any User that detracts from genuine, valuable interactions.

7. Content Ownership and License

7.1 Your Content

You retain all ownership rights to the Content you create, upload, or distribute through Reellwe.com.

7.2 License to Reellwe.com

By using the Platform, you grant Reellwe.com a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your Content as necessary to operate the Platform and provide our services (including distribution to third-party social media platforms).

7.3 Third-Party Distribution

When you use our distribution feature to dispatch Content to Facebook, Twitter, WhatsApp, Telegram, or other platforms, you acknowledge that those platforms have their own terms and policies. Reellwe.com is not responsible for how third-party platforms handle your Content.

8. Intellectual Property

All intellectual property rights in the Platform, including its design, software, trademarks, and proprietary tools, belong to Reellwe.com and Begize optiMAX. You may not copy, modify, or reverse-engineer any part of the Platform without our express written consent. Intellectual property rights are protected under Ethiopian Civil Code and applicable international treaties to which Ethiopia is a party.

9. Advertising and Promotions

Users may advertise their products or services through the Platform. All advertising Content must:

Be truthful and not misleading;

Comply with applicable Ethiopian advertising laws and regulations, including consumer protection provisions under Ethiopian law;

Not infringe on the rights of others.

Reellwe.com reserves the right to reject or remove any advertising Content that violates these Terms.

10. Third-Party Links and Services

The Platform may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party platforms. Your interactions with third-party services are solely between you and the third party.

11. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable Ethiopian data protection laws, including Proclamation No. 1325/2024 (Data Protection Proclamation).

12. Fees and Payments

We reserve the right to charge fees for certain features of the Platform. Any fees will be disclosed to you before you incur them. All payments are non-refundable unless otherwise stated. Fees may be payable in Ethiopian Birr (ETB) or other currencies as indicated.

13. Termination

We may terminate or suspend your account at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to the Platform, other Users, or our business.

You may terminate your account at any time by contacting us or using the account settings.

Upon termination, your right to use the Platform will cease immediately. Sections that by their nature should survive termination (including ownership provisions, disclaimers, and limitations of liability) will survive.

14. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by Ethiopian law, Reellwe.com and Begize optiMAX disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

15. Limitation of Liability

To the fullest extent permitted by Ethiopian law, Reellwe.com and Begize optiMAX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.

Our total liability to you shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless Reellwe.com, Begize optiMAX, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Platform;

Your Content;

Your violation of these Terms;

Your violation of any third-party rights or applicable Ethiopian laws.

17. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Platform or via email. Your continued use of the Platform after the effective date constitutes your acceptance of the modified Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to its conflict of law principles.

19. Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through informal negotiation. If the dispute is not resolved within thirty (30) days, either party may submit the dispute to the competent courts of Addis Ababa, Ethiopia, which shall have exclusive jurisdiction over such matters.
